Terms of Service

1. Scope of the Service

UserLayer provides user research infrastructure for agent-driven and API-based workflows. The service may include dashboard access, API access, model-assisted analysis, follow-up querying, usage reporting, billing controls, and integrations with third-party providers.

You may use the service only for lawful business, product research, demand validation, competitive analysis, or related internal decision-making purposes. You are responsible for how you use the outputs generated by the service.

2. Accounts, API Keys, and Agents

You are responsible for maintaining the security of your account, API keys, saved payment method settings, and any agent or external tooling connected to UserLayer.

You must not expose API keys in public code repositories, client-side bundles, shared logs, screenshots, or any other place where unauthorized parties could use them. Any request made through your account or API key will be treated as authorized by you unless you notify us of compromise.

You are responsible for the behavior of any agent, automation, script, or service that uses your credentials or keys.

3. Acceptable Use

You may not use UserLayer to violate applicable law, evade third-party platform restrictions, process data in ways that violate applicable terms, interfere with service stability, bypass controls, or attempt to attack, abuse, reverse engineer, or disrupt the service or its dependencies.

You may not use UserLayer for unlawful surveillance, harassment, fraud, infringement, credential abuse, spam, or other harmful or deceptive behavior.

You may not intentionally generate excessive abusive concurrency, exploit pricing or billing bugs, or use the service in a way that materially degrades availability for other users.

4. Credits, Pricing, and Usage

UserLayer currently operates on a pay-as-you-go model. You purchase service Credits that can be consumed within the platform; those Credits are not a bank account, deposit account, stored cash equivalent, or custodial wallet.

Credits may be deducted based on review retrieval volume, analysis runs, follow-up query token usage, or other usage dimensions that are described in the dashboard or public documentation at the time of use.

Prices, defaults, technical limits, request sizing, and packaging may change over time. You are responsible for reviewing current pricing and monitoring your available Credits before issuing requests.

5. Automatic Top-Ups and Payment Authorization

If you enable Auto Top-up, you authorize UserLayer to initiate additional charges through Stripe using your saved default payment method when your configured threshold is reached.

UserLayer may apply safeguards intended to prevent duplicate top-ups and may stop additional consumption when a configured monthly hard limit has been reached. However, you remain responsible for monitoring your payment settings, spending controls, and agent behavior.

You should not enable Auto Top-up unless you understand how your automations behave under normal and abnormal conditions.

6. Refunds, Reversals, and Chargebacks

UserLayer does not currently offer self-service refunds. Any refund request, if considered at all, is handled manually and may be refused except where required by law.

Credits already consumed through API usage, analysis runs, follow-up queries, or related service activity are non-refundable. Promotional or free Credits are non-refundable.

If a payment is refunded, reversed, disputed, or charged back, we may reclaim any remaining unused Credits associated with that payment, disable Auto Top-up, place the account on billing hold, and restrict further API access pending review.

7. Third-Party Services and Data Sources

UserLayer relies on third-party infrastructure and providers, including providers for authentication, hosting, payments, storage, monitoring, and AI or model execution.

The applications, URLs, and questions you submit may be processed through these providers as part of providing the service. You are responsible for ensuring that your use of third-party app store content, reviews, metadata, and public materials is lawful and consistent with the applicable terms of those platforms.

8. Outputs and No Professional Advice

UserLayer provides research assistance, structured summaries, and model-generated analysis. It does not provide legal, financial, tax, investment, medical, or other professional advice.

Although we aim to return evidence-grounded results, we do not guarantee completeness, accuracy, fitness for a particular purpose, market success, commercial performance, or decision quality. You are responsible for reviewing, validating, and interpreting outputs before acting on them.

9. Intellectual Property

UserLayer and its related software, branding, interface elements, documentation, and underlying systems are owned by UserLayer or its licensors.

You retain rights in the inputs and materials you submit, subject to the rights we need to host, process, secure, bill, troubleshoot, improve, and operate the service. You represent that you have the rights necessary to submit the data and materials you provide.

10. Suspension and Termination

We may suspend, throttle, restrict, or terminate access if we believe your account or usage creates security, billing, legal, abuse, or operational risk, or if we reasonably suspect fraud, misuse, chargeback abuse, or harmful automated behavior.

We may also update, discontinue, or modify features, integrations, or pricing at any time. Continued use of the service after an update becomes effective constitutes acceptance of the updated terms.

11. Disclaimer and Limitation of Liability

To the maximum extent permitted by applicable law, the service is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied.

To the maximum extent permitted by law, UserLayer will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business opportunity, goodwill, data, or service interruption arising out of or related to your use of the service.

If UserLayer is found liable despite the foregoing, our aggregate liability will be limited to the amount you paid to UserLayer for the service giving rise to the claim during the three-month period preceding the event giving rise to liability.
